  With the implementation of the EU Shareholder Rights Directive II (SRD II) and its transposition into national law there are now new requirements and obligations for issuers, intermediaries and other stakeholders. Issuers and intermediaries alike are focused on planning for compliance with the EU directive and local transposition. The SRD II main objective is to encourage shareholder engagement, increase transparency and improve corporate governance in capital markets.

  With our Digital Summit "The Experts Approach to Executive Remuneration across the EU" we want to shed light on how SRD II is:

  • Allowing issuers to identify shareholders
  • Ensuring that shareholders can exercise rights and
  • Improving transmission of information along custodian chain

  The topic of remuneration is now increasingly required to be put to the shareholders votes and the expectations of investors and proxy advisors are increasingly influencing the design of the board remuneration policy. SRD II allows shareholders to have a regular vote on Executive remuneration and hence this will be a topic of scrutiny for the upcoming Shareholder Meeting Season. Further, for issuers listed in an EEA member state, SRD II now gives the option for electronic shareholder disclosure requests via SWIFT the local CSD, but also brings the obligation to send AGM-related and corporate actions messages via SWIFT to the local CSD.
