As proxy season approaches, is it back to the salt mines?

Consider the following scenario:

• Individual (or a coordinated group of individuals) becomes a part of your organization.
• Individual(s) has targeted your organization as a place to impose his/her/their own agenda. This agenda more than likely will require a meaningful change for your organization.
• Individual(s) begins recruiting and organizing others within your organization to support their change agenda.
• Individual(s) look for ways to antagonize leadership (including bringing unwanted attention to the organization in the media) in an effort to evoke a reaction that will taint others’ opinions of the organization’s management team and its policies/procedures.
• Individual(s) ignite a costly and time-consuming battle within the organization, which likely leaves the management team’s reputation tarnished regardless of the outcome of the contest.

For anyone who has been in a shareholder activist situation, this scenario is all-too familiar. Yet, what is described above is not an outline of a shareholder activist campaign. It’s actually a description of a union organizing effort commonly known as “salting.”
